Course description

The course is about business law and company law

AIMS AND CONTENT

LEARNING OUTCOMES

The course aims at providing a general knowledge of principles and rules of commercial and corporate law, and at helping the students to develop a critical approach to regulation, taking into account the contributions of the legal scholarship, the decisions of the Courts and the economic and social impact of regulation.

The purpose of the course is to give the students a full picture of the regulation of the entrepreneur who runs the business either alone as well as through enterprises, letting further detailed analysis to other specialized courses available in the Department

First part:

L’imprenditore. Le categorie di imprenditori. L’acquisto della qualità di imprenditore. Lo statuto dell’imprenditore commerciale. L’azienda. Brevetti, marchi, opere dell’ingegno, licenze. Le società. La società semplice. La società in nome collettivo. La società in accomandita semplice.

Second part:

La società per azioni. Le azioni. Le partecipazioni rilevanti. I gruppi di società. L’assemblea. L'amministrazione. I controlli. Il bilancio. Le modificazioni dello statuto. Le obbligazioni. Lo scioglimento delle società di capitali. La società in accomandita per azioni. La società a responsabilità illimitata. Le società cooperative. Trasformazione. Fusione. Scissione. La crisi dell’impresa e le procedure concorsuali (cenni)
